Please read these Terms of Service (“Terms”) carefully before using ProMate (“we,” “us,” or “our”). By subscribing to or using our platform, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. Acceptance of Terms
By creating an account, subscribing to a ProMate plan, or otherwise accessing or using our platform, you confirm that you are at least 18 years old, have the legal authority to enter into a binding agreement on behalf of yourself or your business, and agree to these Terms in full.
We reserve the right to update these Terms at any time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
2. Subscription & Refunds
Free Trial. New subscribers receive a 7-day free trial. No charge is applied until the trial period ends. You may cancel at any time during the trial and will not be billed.
Starter — $399/month list, $199/month early-bird. Includes 5 qualified emergency leads per month. Additional qualified leads are billed at $40 each. Early-bird pricing is a grandfathered rate for the first 20 shops.
Pro — $799/month list, $499/month early-bird. Includes 30 qualified emergency leads per month. Additional qualified leads are billed at $26 each. Early-bird pricing is a grandfathered rate for the first 20 shops.
Non-Refundable After Trial. All subscription payments are non-refundable once the 7-day free trial has ended and billing has commenced. If you cancel your subscription, your access continues until the end of the current billing period, after which no further charges will be made.
Cancellation. You may cancel your subscription at any time through your dashboard or by contacting us at support@promate.com. Cancellation takes effect at the end of the current billing cycle.
3. Twilio & SMS Liability
ProMate uses Twilio, Inc. as its underlying SMS and telephony infrastructure. While we take reasonable steps to ensure reliable message delivery, we cannot guarantee that every message will be delivered successfully.
ProMate is not liable for:
- Dropped, delayed, or undelivered messages resulting from carrier filtering, A2P 10DLC registration status, or network congestion.
- Twilio service outages, rate-limiting, or API changes that temporarily disrupt the auto-reply or booking link delivery.
- Messages filtered by wireless carriers due to content policies or spam detection systems outside our control.
- Lost leads or revenue resulting from any of the above delivery failures.
Business owners are responsible for ensuring their use of ProMate complies with all applicable telemarketing laws, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. ProMate’s AI-generated SMS responses are sent only in direct reply to an inbound call or message, which constitutes an established business relationship.
4. Acceptable Use
You agree not to use ProMate to:
- Send unsolicited bulk messages (spam) or conduct telemarketing campaigns.
- Harass, threaten, or deceive customers or other third parties.
- Violate any applicable laws or regulations, including consumer protection, privacy, or anti-spam laws.
- Reverse-engineer, decompile, or attempt to extract the source code of our platform.
- Resell or sublicense access to the ProMate platform without prior written consent.
Violation of these acceptable use policies may result in immediate suspension or termination of your account without refund.
5. Intellectual Property
All software, design, trademarks, and content comprising the ProMate platform are owned by ProMate, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform.
You retain full ownership of your business data, customer contact information, and any content you upload to the platform. You grant ProMate a limited license to process this data solely to provide and improve the service.
6. Disclaimers & Limitation of Liability
THE PROMATE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMATE’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO PROMATE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL PROMATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.
7. Termination
Either party may terminate these Terms at any time. You may cancel your subscription as described in Section 2. We reserve the right to suspend or terminate your access immediately if you violate these Terms, with or without notice.
Upon termination, your right to access the platform ceases. We will retain your data for up to 90 days in accordance with our Privacy Policy, after which it will be deleted.
8. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Travis County, Texas.
